ISSUE OF SHARES RE COST SAVING INITIATIVES
Live Company Group plc (AIM: LVCG) announces that, further to its announcements on 15 April and 30 April 2020, regarding the cost saving initiatives implemented by the Company as a result of COVID-19 and the Company's intention to make up for the decrease in pay for all staff, including Directors and those who have been furloughed, via the issue of new shares in the Company, it will, as a result, issue 975,806 new ordinary shares of
Further to the above, David Ciclitira, the Executive Chairman, has elected to receive 139,060 Salary Shares at an issue price of
The Salary Shares and Ordinary Shares that are being issued cover the period from April to June inclusive.
The following Directors and PDMRs have been issued Salary Shares and Ordinary Shares:

The Company's Non-executive Directors have elected to receive their Salary Shares in the second half of the year and further announcements will be made in this regard as appropriate.
Application and total voting rights
Application will be made for the 1,114,866 Salary Shares and 82,000 new Ordinary Shares, which will rank pari passu with the Company's existing Ordinary Shares, to be admitted to trading on AIM ("Admission"). Dealings in the Salary Shares and new Ordinary Shares is expected to commence on or around 12 May 2020.
On Admission, the Company will have 81,047,285 Ordinary Shares in issue with voting rights. No Ordinary Shares are held in treasury. The figure of 81,047,285 may be used by the Company's shareholders as the denominator in the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
Following Admission David Ciclitira will be interested in 27,534,871 Ordinary Shares, representing approximately 33.97% of the Company's then issued share capital and Bryan Lawrie will be interested in 90,384 Ordinary Shares, representing approximately 0.11% of the Company's then issued share capital.
Nominated Adviser
The Company announces that the Company's Nominated Adviser has given notice that it is stepping down, effective, 9 July 2020, and the Company confirms that it is in advanced discussions with a number of potential Nominated Advisers. The Board will be making a decision on their chosen adviser shortly.
